I've looked all over the forums for a judgement on this but I can't find anything that seems to answer it.

Recently we had a game where I was involved in a long fight with a monster in a room. At the finish, I had to play a Loaded Die to win. My friend then played a Re-loaded die to change my roll. I then saw on the bottom of the Re-loaded die card that there were two separate paragraphs and that it mentioned I could use Re-loaded die to counter another Re-loaded die.

We resolved a short dispute over whether the action was legal. But it posed another question that I wanted to ask.

The Re-loaded die has two paragraphs on it, as does several other Munchkin Quest cards. Are these powers separate and independent of each other, or do you have to satisfy the first paragraph's requirements to use something from the second paragraph?

Initially my friend didn't think I could counter his Re-loaded die with mine because he hadn't technically 'rolled' his die. Rolling would be a random event where turning them to specific sides would not be random.

I told him that it said in the second paragraph that I could counter a Re-loaded die, but he said that the pre-requisite in the first paragraph (changing a roll) hadn't been met.

He now agrees that the card does allow me to do it, but his reasoning is that he can see how 'changing the die' constitutes a roll. Meanwhile, I'm trying to explain to him that it has nothing to do with anything in the first paragraph on the card and that I chose to use the card a second way as described in the second paragraph.

So, do these two paragraphs explain two different powers that the card can use that are independent of each other, or do you have to comply with the first paragraph to allow use of the power in the second paragraph?

Just to clarify, I'm not trying to use both powers before I discard Re-loaded die. I'm only trying to use one of the two paragraphs.

You and your friend are both overthinking this. The card means exactly what it says: you can use a Reloaded Die to override another (Re)Loaded Die card.
